Loom AI Supplementary Terms

These Loom AI Supplementary Terms (“Loom AI Terms”) form a part of the Terms of Service or the Loom Services Agreement, as applicable, between you and Loom (the “Agreement”). These Loom AI Terms apply to the access and use of any Loom AI offering or the Loom AI Suite Order, as applicable. The Agreement will apply to Loom AI, as part of the Services thereunder, provided that if there is any conflict between these Loom AI Terms and the main body of the Agreement, these Loom AI Terms will control. Capitalized terms used herein but not defined will have the same meanings assigned to them in the Agreement.

1. Definitions

1.1. “Input” means any input provided by Customer or its Authorized Users to be processed by Loom AI.

1.2. “Loom AI” means any features or functionality made available by Loom or labeled as Loom AI that utilize data models trained by machine learning.

1.3. “Loom AI Suite” means the suite of Loom AI offerings as outlined on Loom’s website, the Documentation, or the applicable Loom AI Suite Order.

1.4. “Loom AI Suite Order” means the order form agreed to by the parties or the applicable Loom check-out webpage to purchase the Loom AI Suite.

1.5. “Output” means any output generated and returned to Customer or its Authorized Users based on the Input.

2. Customer Responsibilities

2.1. Input and Output. Input and Output are Customer Data and Customer is solely responsible for the development, content, operation, maintenance, and use of its Customer Data. Customer will ensure that its Input, Output, and use of Loom AI will not (i) violate any applicable law; (ii) violate these Loom AI Terms or the Agreement; or (iii) infringe, violate, or misappropriate any of our rights or the rights of any third party. Customer acknowledges that due to the nature of machine learning and the technology powering Loom AI, Output may not be unique, and Loom may generate the same or similar output for third parties. Customer hereby irrevocably releases, and agrees not to sue, Loom or any of its affiliates with respect to any liability for infringement, misappropriation, or violation of any rights with respect to the Output.

2.2. Restrictions. Customer may not use Loom AI to: (i) develop foundation models or other large scale models that compete with Loom AI; (ii) mislead any person that Output from the Services was solely human generated; or (iii) use Loom AI in a manner that violates this Agreement, the Documentation, the Loom AI Suite Order, any OpenAI Policy, including, OpenAI’s Usage Policy, Content Policy, Sharing and Publication Policy, and Community Guidelines, or any other third party terms, guidelines, policies or the like to which Loom links in connection with generation of Output.

3. Modifications

Loom may update these Loom AI Terms by posting the updates to the Loom website. If an update materially impacts Customer’s or its Authorized Users’ rights or obligations, Loom will provide at least 30 days’ notice before the updated Loom AI Terms go into effect. Any other revisions will become effective on the date the updated Loom AI Terms are posted by Loom. Continued use of or access to Loom AI after the updated Loom AI Terms go into effect will constitute acceptance of those Loom AI Terms.

4. Warranty and Disclaimer

LOOM DOES NOT MAKE ANY WARRANTY AS TO LOOM AI, OUTPUT, THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF LOOM AI OR THE ACCURACY OF ANY INFORMATION OBTAINED THROUGH LOOM AI, INCLUDING WITH RESPECT TO THE FACTUAL ACCURACY OF ANY OUTPUT OR SUITABILITY FOR CUSTOMER’S USE CASE. CUSTOMER UNDERSTANDS AND AGREES THAT THE USE OF ANY MATERIAL AND/OR DATA OBTAINED THROUGH THE USE OF ANY LOOM AI FEATURE IS AT CUSTOMER’S SOLE RISK. CUSTOMER SHOULD NOT RELY ON FACTUAL ASSERTIONS IN OUTPUT WITHOUT INDEPENDENTLY FACT CHECKING THEIR ACCURACY. NO INFORMATION OR ADVICE, WHETHER ORAL OR WRITTEN, OBTAINED BY CUSTOMER FROM LOOM OR THROUGH LOOM AI SHALL CREATE ANY WARRANTY.
